Definition of the Interplov Service.
Interplov is the creator and provider of a service (the "Interplov Service") that permits users to select proprietary electronic content consisting of licensed and original content (collectively, the "Interplov Content") through means including but not limited to:
Interplov's website, www.malabiblioteka.net ("Mala biblioteka site");
Wired and wireless connections; and
Telephony based networks;
and to playback such Interplov Content on a computer ("Computer") or any approved Interplov hardware device ("Device") using Interplov's or third party approved Software application or other third party software application specifically approved by Interplov that meets the then-current Interplov specifications, and/or any other software the user accesses, downloads, or otherwise receives for use in connection with the Interplov Service, including but not limited to Beta (pre-release) versions thereof (collectively, the "Interplov Software").

Requirements for Use of the Interplov Service.
To use the Interplov Service the individual Membership needs to be approved by an individual aged 18 or over, but is available to users of all ages.

Privacy.
Interplov's Privacy Policy is expressly incorporated herein by reference and made a part of this Agreement.

Your Information.
You agree to provide current, complete, and accurate information required to complete your Membership registration with the Interplov Service and at other points as may be required in the course of using the Interplov Service (such information will be referred to herein, collectively, as "Registration Data"). You further agree to maintain and update Registration Data as required to keep it current, complete, and accurate. You shall not use a false or misleading name or a name that you are not authorised to use. If any information you provide is false, incomplete, or inaccurate, we may terminate your rights to any or all of the Interplov Service. If the information you provide is fraudulent, you may also be subject to criminal and/or civil liability. You agree that we may store and use Registration Data you provide (including credit or debit card information) for use in maintaining your accounts.

User Account, Password, and Security.
Account and Password. As a registered user of the Interplov Service, you may receive or establish one password and account ("Interplov Account") per website. You are solely responsible for maintaining the confidentiality and security of your passwords and Interplov Accounts. You may not divulge your password to anyone else or use anyone else's password or Interplov Account. You are entirely responsible for all activities that occur on or through your Interplov Account(s), and you agree to notify us immediately about any unauthorised use of Interplov Accounts or any breach of security. You agree that we will not be responsible for any losses incurred in connection with any misuse of passwords and you further agree that we will have no responsibility whatsoever for your failure to comply with this paragraph. Your breach of this paragraph may result in immediate termination of your Interplov Account(s), and may also subject you to criminal or civil liability.
Security, Cracking and Hacking. You shall not violate or attempt to violate the security of the Interplov Service. Accordingly, you shall not: (i) access data or materials not intended for you; (ii) log into a server or account which you are not authorised to access; or (iii) attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorisation.
Your violations of system or network security may result in civil or criminal liability. We reserve the right to investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who have participated in such violations.
You agree that it is your responsibility to install anti-virus software and related protections against viruses, Trojan horses, worms, time bombs or other computer programming routines or engines that are intended to damage, destroy, disrupt or otherwise impair a computer's functionality.

Grants of Licenses.
Interplov Content Licence. When you "clickout" or otherwise "access" (referred to herein, collectively as "Access") Interplov Content from the Interplov Service, Interplov grants you a limited, revocable, non-exclusive, non-transferable licence to stream or download such Interplov Content to your Computer and/or your Device(s) solely for your personal non-commercial use. You shall not copy, reproduce, distribute or use the Interplov Content in any other manner.
You shall not sell, transfer, sub-licence, assign, lease, modify, distribute or publicly perform the Interplov Content in any manner and you shall not exploit it commercially. You should not: (A) decompile, disassemble, or reverse engineer the Interplov Content or attempt to do so; or (B) modify the Interplov Content or create any derivative works therefrom.
This licence to the Interplov Content will continue for as long as your copy of Interplov Content exists pursuant to and in accordance with the terms and conditions of this Agreement.
Site Access Licence. Interplov grants you a limited, revocable, non-exclusive, non-transferable licence to access and make personal non-commercial use of the Mala biblioteka site and not to download (other than page caching) or modify all or any portion of the Mala biblioteka site.
This licence does not include any resale or commercial use of the Mala biblioteka site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Mala biblioteka site or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools.
The Mala biblioteka site and/or any portion of it may not be reproduced, duplicated, copied, sold, resold, visited or otherwise exploited for any commercial purpose without our express written consent. You shall not frame or utilise framing techniques to enclose any trademark, logo or other proprietary information (including images, text, page layout or form) of Interplov, its content providers or its affiliates without express written consent. You shall not use any Meta tags or any other "hidden text" utilising our name or trademarks without our express written consent. Any unauthorised use automatically terminates the permissions and/or licenses granted by us to you.
You are granted a limited, revocable, non-exclusive, non-transferable right to create a hyperlink to the home page of the Mala biblioteka site so long as the link does not portray us, our content providers, our affiliates, or our products or services in a false, misleading, derogatory or otherwise offensive manner. You may not use any Interplov or Mala Biblioteka logo or other proprietary graphic or trademark as part of the link without our express written permission.
No Other Licence. Except as expressly stated herein, no rights or licenses are granted hereunder.

Membership and Purchasing
Membership
Upon joining the Mala biblioteka site Membership, the Members will be able to access all free-to-use materials, to access and stream preview materials, as well as to access and stream and/or download Interplov Content. The Members will be able to purchase Marbles ("Marbles"), as a form of Interplov Service credit. Purchased Marbles will be stored on individual users account. The purchased Marbles will be available to be used for exchange for Interplov Content on the Mala biblioteka site or any of the services.
Marbles Types, Validity Period and Refunds
Upon joining Mala biblioteka site Membership, Members can receive or purchase Marbles which may be used for acessing, streaming or downloading Interplov Content on the Mala biblioteka site. The types of Marbles will include, without limitation, Purchased Marbles, Complimentary Marbles, Friends Marbles, and Trial Marbles, as specified below.
Purchased Marbles.
"Purchased Marbles" are those Marbles which Members can purchase occasionaly in order enable access to streaming or downloading of Interplov Content on the Mala biblioteka site. The number of Purchased Marbles depends on individual Purchase transaction. Normally the Purchase transaction are in sets of 5, 10 or 20 Marbles. Purchased Marbles are available to exchange for Interplov Content access, streaming or download on the Mala biblioteka site for a period of 15 days from the day of the Purchase. At the end of this period, the unused Purchased Marbles will expire.
Complimentary Marbles.
"Complimentary Marbles" are those Marbles which Members may receive through, without limitation, goodwill, member anniversaries, or in other situations, in each case as determined by Interplov, in its sole discretion. Interplov may, solely at its own discretion, replace the expired Purchased Marbles with Complimentary Marbles, upon the application by a Member, or in line with Interplov policy at the time. The Complimentary Marbles are provided free of charge, can be cancelled at any time, and are non-refundable. In all cases the Complimentary Marbles will expire after 365 days.
Friends Marbles.
"Friends Marbles" let you share your Marbles by transfering access to Interplov Content for the people you know.
Trial Marbles.
"Trial Marbles" are those Marbles which members receive as part of a Trial Offer. Trial Marbles are non-refundable and expire 15 days after issuing.
Prices.
Prices for Marbles are stated online at the time of your Purchase. Prices will clearly indicate the Value Added Tax ("VAT") and any other applicable taxes, which will be charged at the current rate. Our VAT number is 984 5093 81.
Right to Change Prices.
Prices are subject to change upon notice from us. Such notice may be provided at any time by posting the changes to the Mala biblioteka site.

Credit and Debit Card Payment.
You may pay for any Purchase by supplying your credit or debit card details in the on-line order form. All purchases made are subject to authorisation by the issuing card authority.
Purchasing.
You will complete the on-line Purchase form and credit cart payment process. We will send you an email to acknowledge receipt of your Purchase. Our acceptance of your Purchase takes place upon the delivery of Marbles into your on-line account, or upon receipt by you of our confirmation email in respect of the Purchase.
Purchase Cancellation Policy.
We will accept to provide a full refund for Purchased Marbles, if, but only if, the Cancelation is requested within fifteen (15) days from the date of Purchase and Delivery of Marbles into your user account. If the Purchased Marbles have been used to access, stream or download Interplov Content the Purchase will become irreversible and non refundable.

Electronic Signatures and Contracts.
When you visit Mala biblioteka site or send us e-mails, you are communicating with us electronically. Your use of the Interplov Service includes your ability to enter into agreements and/or to make Purchases electronically. You acknowledge and agree that your electronic submissions constitute your agreement and intent to be bound by such agreements.
You consent to Interplov providing you any information that Interplov is required to send you regarding your agreement, purchases and other transactions ("Required Information") in electronic form. Interplov may provide Required Information to you in the following ways:
via e-mail at the e-mail address you specified in your Interplov membership submission;
by access to an Interplov website that will be designated in an e-mail notice sent to you at the time the information is available; or
by access to an Interplov website that will be generally designated in advance for such purpose.
You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirements that such communications be in writing.
You may, in addition to the electronic copy which is accessible and downloadable from this Mala biblioteka site, request a paper copy of any Required Information. You may request paper copies, withdraw your consent, or update your e-mail address by following the instructions on the Mala biblioteka site. Interplov must receive your paper copy request within 120 days from the date that Interplov first provided the Required Information to you.
Notwithstanding your consent as set forth in this section, you may at any time obtain a paper copy of an electronic record by sending an e-mail to us and paying a nominal fee per copy.
Your consent to electronic agreements set forth above is necessary for use of the Interplov Service. You may withdraw consent by sending Interplov an e-mail containing information unique to you including your account information. However, this will result in a termination of this Agreement and of your ability to use the Interplov Service.
Any contract entered into between Interplov and you and all Interplov communications with you will be in English.

Availability of Interplov Service
Interplov will seek to ensure that its Interplov Service systems provide an optimum protection for the users, and to ensure that there is a minimum delay in its own Interplov Service provision within the Mala biblioteka site. However, the availability of Interplov Service is dependent on a numer of factors, including third party networks, third party server operation, third party software, third party anti-virus and spy ware protection programmes etc. which are all subject to interuption and delay, and therefore can directly impact the availability of Interplov Service. Interplov makes no guarantee implied or otherwise about the continous availability of the Interplov Service, and expressly does not warrant this availability to its users, and does not accept any liability for potential disruption in use.

Delivery of Interplov Content.
All Interplov Content will be delivered to the "My Library" section of the Mala biblioteka site.

Intellectual Property.
Removal of Interplov Content or other Materials. Notwithstanding any other provision of this Agreement, we reserve the right to remove or disable access to any Interplov Content or other materials comprising a part of the Interplov Service that violate or otherwise allegedly infringe on the copyright or other intellectual property or proprietary rights of any person, company or other entity. We will in no event be liable for the good faith removal of or disabling of access to any such Interplov Content or materials under this Agreement.
Copyrights. All copyrights in and to the Interplov Service materials including but not limited to the Mala biblioteka site (including the compilation of content, postings, links to other Internet resources and descriptions of those resources), Interplov Content, Subscriptions, Interplov Software, or any parts of or content within the Mala biblioteka site, Interplov Content, Subscriptions and Interplov Software, are owned by Interplov and/or its suppliers and/or licensors. The use of any software other than web browsers and Interplov Software on or in connection with the Interplov Service, such as products that download the Mala biblioteka site or any of the pages of the Mala biblioteka site, is strictly prohibited and infringes on the copyrights in and to the Interplov service materials. Reproduction or use of the Interplov Service materials in a manner other than as specified in this Agreement may subject you and others to civil and criminal penalties, including possible monetary damages, for copyright infringement.
Copyright Infringement. We respect the intellectual property of others. If you believe that your copyrighted materials have been copied in a way that constitutes copyright infringement, please follow the procedure set forth in our Copyright Notice Policy, which is expressly incorporated herein by reference and made a part of this Agreement.
Trademarks. Interplov Mala Biblioteka, Interplov iBiblioteka, Klikeri, Igrane Knjige and all other Interplov trademarks, service marks, graphics and logos used in connection with the Interplov Service are trademarks or registered trademarks of Interplov, Ltd. in the European Union and/or other countries. Other trademarks, servicemarks, graphics and logos used in connection with the Interplov Service are the trademarks of their respective owners. You are granted no right or licence with respect to any of the above mentioned trademarks and any use of such trademarks, including but not limited to use in connection with any product or service that is not that of the respective trademark owner in any manner that is likely to cause confusion among customers or that disparages or discredits the respective trademark owner, is strictly prohibited.

Termination.
Termination By Interplov. If you fail, or we suspect that you have failed, to comply with any of the provisions of this Agreement, including but not limited to failure to make payment of Interplov Fees due, failure to provide Interplov with a valid credit or debit card or with accurate and complete Registration Data, failure to safeguard your Interplov Account information and password, or violation of the Interplov Content Licence or the Mala biblioteka site Access Licence or any licence to Interplov Software, Interplov, at its sole discretion, may:
terminate this Agreement and/or your Interplov Account; and/or
terminate the Interplov Content License, the Mala biblioteka site Access Licence and/or licenses to Interplov Software; and/or
preclude access to the Interplov Service (or any part thereof). We will notify you if we take any of the foregoing actions.

Duration of the Service.
Interplov Ltd. is dedicated to maintaining Interplov services and the Interplov sites, as our core business. However, we reserve the right to modify, suspend or discontinue the Interplov Service (or any part thereof) in its initial format at any time or any Interplov Content (or any part thereof) at any time with or without notice to you, and we will not be liable to you or to any third party should we exercise such rights.

General Compliance with Laws; Export Restrictions.
The Interplov Service is controlled and operated by us from our offices within the United Kingdom. You agree to comply with all domestic and/or foreign government export and/or import laws, rules, policies, procedures, restrictions and regulations that apply to your use of the Interplov Service.

No Responsibility for Third Party Materials or Websites.
Certain content, Interplov Content, products and services available via the Interplov Service may include materials from third parties. In addition, we may provide links to certain third party websites.
You acknowledge and agree that we have little or no control over, and are not responsible for examining or evaluating the content or accuracy of any such third party material or websites.
Interplov does not warrant or endorse and does not assume and will not have any liability or responsibility for any third party materials or websites, or for any other materials, products or services of third parties. You should carefully review the privacy policies and other website terms and conditions of use and/or their product terms and conditions. You will be bound by such terms and conditions when entering a third party website and/or purchasing other third party products.

Limited Express Warranty.
Except as expressly provided herein, Interplov Services are provided "AS IS" and "AS AVAILABLE".
The Interplov Service is only warranted as stated below:
Interplov warrants that the media in which the Interplov Content is provided (e.g., the the electronic file transmitted to you) and in general the Interplov Content supplied by Interplov will be generally free from material defects.
Interplov warrants that the Interplov Content that you licence directly through the Interplov Service will be of a quality suitable for human use, listening or watching and will consist of the Interplov Content that was offered via the Interplov Service, if obtained pursuant to Interplov's instructions using equipment that is in good operating condition and meets the specifications for the Interplov Service as provided by Interplov.
There is no warranty, express or implied, on the content, quality, or technical compatibility of audio materials and information services downloaded through the Interplov Service but not under the control of Interplov.
The foregoing warranties do not cover defects caused by viruses, disabling codes, Trojan horses, worms, time bombs, cancelbots or other computer programming routines or engines that are intended to damage, destroy, disrupt or otherwise impair a computer's functionality or operation which may be transferred to your computer via the Interplov Service, accident, mishandling, misuse, improper installation, service or maintenance, modification of the Interplov Software or Interplov Content or the media on which the Interplov Software and Interplov Content are furnished, or the user's lack of the necessary hardware/software.
No Interplov employee, agent, dealer, distributor, or reseller is authorised to make any modification or addition to the warranties stated in this paragraph. The express warranties stated above are in lieu of all other warranties, express or implied or statutory which are excluded to the extent permitted by law.

Limitation of Liability.
To the fullest extent permitted by law in no event shall Interplov have any liability whatsoever to you or any third party for any lost profits, records or data, interruption of service, or loss of business or business opportunities, loss of revenue, loss of anticipated savings, wasted expenditure, including without limitation, damages that may have been caused by a virus or other data corruption problem resulting from access to, downloading from or use of the Interplov Service, Mala biblioteka site and use of any of Interplov Content on Mala biblioteka site.
In no event shall Interplov have any liability whatsoever arising out of any misuse of passwords or Interplov Accounts, or arising out of its good faith removal or disabling of any Interplov Content or discontinuation of any Interplov Service. Subject to the availability of the Interplov Content and Interplov's limited express warranty herein, Interplov is not responsible for any claims involving the timeliness, accuracy, completeness, or reliability of the Interplov Content you stream or download or otherwise access from or through the Interplov Service.
With respect to any cause of action brought under any theory, including but not limited to tort and contract, in no event shall Interplov or any of its suppliers or licensors be liable to you or any third party for any indirect, incidental, consequential, punitive or special damages, arising in connection with or related to use or inability to use Mala biblioteka site, Interplov Account(s), Interplov Software, Interplov Content or the Interplov Service, or any other item supplied by Interplov even if advised of the possibility of such damages.

Indemnity.
You agree to indemnify and hold harmless Interplov, its affiliates, subsidiaries, shareholders, officers and directors, agents, employees, and partners without any limit any and all liability, loss, damage, costs and expenses (including legal expenses) awarded against, incurred by or paid or payable by Interplov resulting at any time from any third party claim or demand, due to or arising out of your breach of this Agreement and/or your use of Interplov Services.

Your Rights as a Consumer.
If you are a consumer (i.e. acting in a personal rather than a business capacity) we respect your statutory rights as follows:
We provide you with information relating to the Interplov Service in writing (including our contact details, a description of services, prices and charges, arrangements for payment and delivery and your right to cancel contracts). This information is set out in the on-line order form, this Agreement and the e-mail acknowledgement of your purchase.
Once we have started providing you with the Interplov Service (for example, you have started streaming or downloading any Interplov Content you have selected) or any other service we may provide you with and you have consented to it, you may not cancel such Interplov Service or any other applicable service without our agreement.

Governing Law.
This Agreement shall be governed and construed in accordance with the laws of England and you submit to exclusive jurisdiction of the English courts notwithstanding the jurisdiction where you are based.

Changes.
We reserve the right, at any time and from time to time, to update, revise, supplement and to otherwise modify this Agreement and to impose new or additional rules, policies, terms or conditions on your use of the Interplov Service. Such updates, revisions, supplements, modifications and additional rules, policies, terms and conditions (collectively referred to in this Agreement as "Additional Terms") will be effective immediately and incorporated into this Agreement upon notice thereof, which may be given by any reasonable means including by posting to the Mala biblioteka site. Your continued use of the Mala biblioteka site following such notice will be deemed to conclusively indicate your acceptance of any and all such Additional Terms. All Additional Terms are hereby incorporated into this Agreement by this reference.

Miscellaneous.
Nothing in this Agreement affects your statutory rights, either as a consumer or otherwise.
This Agreement constitutes the entire agreement between you and Interplov, and supersedes any prior agreements between you and Interplov, written or oral, with respect to the subject matter herein. Any additional or different terms in any order or written communications from you are void.
In the event of a direct conflict or inconsistency between the terms of this Agreement and: (A) other terms and conditions that may be applicable to the Interplov Service generally, the terms of this Agreement will take precedence with respect to the subject matter of this Agreement; and (B) the Privacy Policy, Policy on Interplov Content, Additional Terms, Software Licenses or Copyright Notice, the terms and conditions of such statement, document, licence or policy will take precedence with respect to the subject matter thereof. In the event of a direct conflict or inconsistency between the terms of this Agreement, including but not limited to the statements, documents and policies incorporated by reference into this Agreement, and the terms and conditions of a particular marketing promotion or offer, the terms of such particular marketing promotion or offer shall take precedence with respect to the such marketing promotion or offer.
The failure of Interplov to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, it shall be deemed to be severed and the other provisions will remain in full force and effect.
Interplov will not be deemed to be in breach of its contract with you and will not be responsible for failures to fulfill any obligations due to any event of force majeure including (without limitation) acts of God, civil commotion, riots, flood, drought, fire and legislation or any other causes beyond its control.
Headings are for convenience only and will not be used to alter the meaning of any provision.
In accordance with the Health and Safety at Work Act 1974 and the Consumer Protection Act 1987, Interplov confirms that the services it supplies do not present a hazard to health and safety when properly used in accordance with the instructions for the purpose for which they are designed and when you take reasonable and normal precautions in their use.
You shall not bring a legal action under this Agreement more than two (2) years after the cause of action arose.
All notices and demands required to be given to Interplov hereunder shall be in writing and shall be served by personal service, nationally recognised overnight courier service or by certified mail, and shall be effective on the date received as evidenced by proof of receipt, if delivered to Interplov, Ltd., Conduit House 2, 56-58 Lambs Conduit Street, London, WC1N 3LW, United Kingdom.
